1. Agreement to these terms
These Terms of Service form an agreement between you and Kxmeleon Solutions for your use of Eaxy Office. By creating an account or using the service, you confirm that you have authority to accept these terms for yourself or the organisation you represent.
2. Accounts and eligibility
You must provide accurate account information, protect your login details and promptly report suspected misuse. You are responsible for activity under your account and for ensuring that authorised team members follow these terms. You must be legally able to enter a binding agreement.
3. The service
The service helps users prepare, store, export, email, share and track business documents. Features may vary by plan. We may improve or change features, provided that we do not materially remove a paid feature during its current paid period without a reasonable substitute or remedy.
4. Your content and responsibilities
You retain ownership of content you submit. You grant us a limited licence to host, process, reproduce and transmit that content only as needed to operate, secure and support the service. You are responsible for accuracy, legality, permissions, recipient details, tax treatment and final review of every document.
Do not upload confidential or personal information unless you have a lawful reason and authority to do so. You must honour requests and rights relating to people whose data you add to the service.
5. Templates, AI and professional advice
Templates and AI-generated drafts are starting points, not legal, tax, accounting, employment or financial advice. AI output may be incomplete or incorrect. You must review and adapt every document and obtain qualified professional advice where appropriate. You remain responsible for the final wording and use of each document.
6. Electronic signatures
When you request or provide an electronic signature, you consent to the electronic process and to the collection of the audit information described in the Privacy Policy. You are responsible for confirming that electronic signing is suitable for the document and permitted in the relevant jurisdiction. We do not guarantee that every document or signature will be enforceable.
7. Plans, fees and payments
Current fees are shown before checkout and are charged in Nigerian Naira through Paystack. A successful monthly plan payment provides access for the stated paid period. Plans do not automatically renew unless checkout clearly says otherwise. Fees may change for future purchases or renewal periods; the price presented and accepted at checkout controls that transaction.
Except where required by law or expressly stated at checkout, fees for an activated paid period are not refundable. Failed, reversed or disputed payments may result in suspension or reversal of paid access. You remain responsible for applicable taxes and charges imposed by your payment provider.
8. Acceptable use
You must not use the service for fraud, impersonation, harassment, unlawful discrimination, malware, unsolicited bulk messaging, infringement, illegal goods or services, or documents designed to mislead. You must not bypass plan limits, probe security, interfere with the service, scrape at scale, resell access without permission, or use another person’s account or data without authority.
9. Our intellectual property
The platform software, visual design, trademarks, template system and other service materials belong to us or our licensors. These terms grant only a limited, revocable, non-transferable right to use the service during your account term. Your exported document content remains yours, subject to any third-party materials you included.
10. Suspension and termination
You may stop using the service at any time. We may restrict or terminate access for non-payment, security risk, unlawful activity or a material breach of these terms. Where practical, we will give notice and an opportunity to fix the issue. We may act immediately to protect users, third parties or the service. Provisions that by their nature should continue after termination will survive.
11. Availability and warranties
We aim to keep the service reliable but do not promise uninterrupted or error-free availability. To the extent permitted by law, the service is provided “as is” and “as available”. We do not warrant that a document will achieve a particular legal, commercial, tax or regulatory result.
12. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded. To the extent permitted by law, we are not liable for indirect or consequential loss, lost profits, loss caused by user content or instructions, third-party services, or a user’s failure to review a document. Our aggregate liability relating to the service will not exceed the amount you paid us during the three months before the event giving rise to the claim.
13. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. Before starting formal proceedings, contact us so both sides can try in good faith to resolve the issue. Consumer rights and remedies that cannot be waived remain unaffected.
14. Changes and contact
We may update these terms for legal, security or service changes. Material changes will take effect after reasonable notice where required. Continued use after the effective date means you accept the revised terms.
